Asociamos a las empresas con la obtenci\u00f3n de beneficios econ\u00f3micos, con la promoci\u00f3n de intereses privados, y, en definitiva, con la idea de que no tienen responsabilidad social. Sin embargo, en la actualidad existen empresas que prometen combinar la persecuci\u00f3n de lucro con \u201chacer el bien\u201d. Habitualmente, estas empresas adoptan certificados que verifican su impacto social y medioambiental: entre ellos, el m\u00e1s conocido es el certificado privado de <\/span><span style=\"font-family: Times New Roman, serif\"><i>B Corp<\/i><\/span><span style=\"font-family: Times New Roman, serif\"> o de Empresa B. El sello de \u201cEmpresa B\u201d ya est\u00e1 presente en los cartones de leche, en las c\u00e1psulas de caf\u00e9 o en los botes de crema que compramos. En la actualidad m\u00e1s de 10.000 compa\u00f1\u00edas son Empresa B, y, en nuestro pa\u00eds, empresas como <\/span><span style=\"font-family: Times New Roman, serif\"><i>Nespresso<\/i><\/span><span style=\"font-family: Times New Roman, serif\">, <\/span><span style=\"font-family: Times New Roman, serif\"><i>The Body Shop<\/i><\/span><span style=\"font-family: Times New Roman, serif\">, <\/span><span style=\"font-family: Times New Roman, serif\"><i>Ben &amp; Jerry\u2019s<\/i><\/span><span style=\"font-family: Times New Roman, serif\"> o <\/span><span style=\"font-family: Times New Roman, serif\"><i>Capsa Food<\/i><\/span><span style=\"font-family: Times New Roman, serif\"> (esta \u00faltima es la propietaria de la marca <\/span><span style=\"font-family: Times New Roman, serif\"><i>Central Lechera Asturiana<\/i><\/span><span style=\"font-family: Times New Roman, serif\">) operan desde hace a\u00f1os con el certificado. Pero, \u00bfhasta qu\u00e9 punto estas Empresas B tienen la obligaci\u00f3n de crear un impacto positivo en la sociedad y el medioambiente? <\/span><\/span><\/div><div style=\"margin-top: 20px\"><span style=\"color: #000000\"><span style=\"font-family: Times New Roman, serif\">Para entender el alcance del certificado de Empresa B, conviene detenernos primero en <\/span><span style=\"font-family: Times New Roman, serif\"><i>por qu\u00e9<\/i><\/span><span style=\"font-family: Times New Roman, serif\"> y <\/span><span style=\"font-family: Times New Roman, serif\"><i>para qui\u00e9n<\/i><\/span><span style=\"font-family: Times New Roman, serif\"> operan las empresas en nuestro ordenamiento jur\u00eddico. Las empresas espa\u00f1olas, como regla general, persiguen un fin lucrativo (art\u00edculos 1.665 del C\u00f3digo civil y 116 del C\u00f3digo de comercio). Es decir, obtienen beneficios econ\u00f3micos y los reparten entre sus socios. En la pr\u00e1ctica esto significa que siempre se deber\u00e1 optar por la decisi\u00f3n que aumente las ganancias de la empresa, incluso si ello requiere el despido de cincuenta trabajadores o escoger un proceso de producci\u00f3n m\u00e1s contaminante. Siempre se deber\u00e1n maximizar los intereses de los socios, y, en consecuencia, la rentabilidad de la empresa. Este es el modelo que adoptan las empresas tradicionales como <\/span><span style=\"font-family: Times New Roman, serif\"><i>Inditex<\/i><\/span><span style=\"font-family: Times New Roman, serif\">, <\/span><span style=\"font-family: Times New Roman, serif\"><i>Repsol<\/i><\/span><span style=\"font-family: Times New Roman, serif\">, <\/span><span style=\"font-family: Times New Roman, serif\"><i>El Corte Ingl\u00e9s <\/i><\/span><span style=\"font-family: Times New Roman, serif\">o <\/span><span style=\"font-family: Times New Roman, serif\"><i>Mapfre<\/i><\/span><span style=\"font-family: Times New Roman, serif\">. Dicho esto, nuestro Derecho no proh\u00edbe que las empresas persigan fines no lucrativos como, por ejemplo, de preservaci\u00f3n del medio marino o de reinserci\u00f3n laboral. Pero es cierto que s\u00ed promueve la persecuci\u00f3n tradicional de fines lucrativos. Quiz\u00e1s esa ausencia de promoci\u00f3n del legislador de otros modelos distintos del lucrativo explica que Espa\u00f1a sea uno de los pa\u00edses en los que se puede adoptar la certificaci\u00f3n de Empresa B. <\/span><span style=\"font-family: Times New Roman, serif\">Seg\u00fan <\/span><span style=\"font-family: Times New Roman, serif\"><i>B Lab<\/i><\/span><span style=\"font-family: Times New Roman, serif\">, la certificaci\u00f3n de Empresa B puede ser adoptada por entidades \u201cque utilicen los negocios para hacer el bien\u201d durante cinco a\u00f1os. Estas empresas ser\u00e1n aquellas que, persiguiendo un fin lucrativo, est\u00e9n dispuestas a alterar su forma de operar para generar un impacto positivo en la sociedad y el medioambiente.<\/span><\/span><\/div><div><a href=\"https:\/\/www.ull.es\/portal\/hipotesis\/wp-content\/uploads\/sites\/62\/2026\/02\/Gemini_Generated_Image_mfde5mmfde5mmfde.jpg\" target=\"_blank\" rel=\"noopener\"><img decoding=\"async\" loading=\"lazy\" class=\"alignnone wp-image-44149 size-full\" src=\"https:\/\/www.ull.es\/portal\/hipotesis\/wp-content\/uploads\/sites\/62\/2026\/02\/Gemini_Generated_Image_mfde5mmfde5mmfde.jpg\" alt=\"\" width=\"1024\" height=\"1024\" srcset=\"https:\/\/www.ull.es\/portal\/hipotesis\/wp-content\/uploads\/sites\/62\/2026\/02\/Gemini_Generated_Image_mfde5mmfde5mmfde.jpg 1024w, https:\/\/www.ull.es\/portal\/hipotesis\/wp-content\/uploads\/sites\/62\/2026\/02\/Gemini_Generated_Image_mfde5mmfde5mmfde-300x300.jpg 300w, https:\/\/www.ull.es\/portal\/hipotesis\/wp-content\/uploads\/sites\/62\/2026\/02\/Gemini_Generated_Image_mfde5mmfde5mmfde-150x150.jpg 150w, https:\/\/www.ull.es\/portal\/hipotesis\/wp-content\/uploads\/sites\/62\/2026\/02\/Gemini_Generated_Image_mfde5mmfde5mmfde-768x768.jpg 768w, https:\/\/www.ull.es\/portal\/hipotesis\/wp-content\/uploads\/sites\/62\/2026\/02\/Gemini_Generated_Image_mfde5mmfde5mmfde-375x375.jpg 375w, https:\/\/www.ull.es\/portal\/hipotesis\/wp-content\/uploads\/sites\/62\/2026\/02\/Gemini_Generated_Image_mfde5mmfde5mmfde-750x750.jpg 750w, https:\/\/www.ull.es\/portal\/hipotesis\/wp-content\/uploads\/sites\/62\/2026\/02\/Gemini_Generated_Image_mfde5mmfde5mmfde-50x50.jpg 50w\" sizes=\"(max-width: 1024px) 100vw, 1024px\" \/><\/a><\/div><div style=\"margin-top: 20px\"><span style=\"color: #000000\"><span style=\"font-family: Times New Roman, serif\">A grandes rasgos, el proceso de obtenci\u00f3n del certificado consta de dos partes: la superaci\u00f3n de una autoevaluaci\u00f3n de impacto acompa\u00f1ada de una auditor\u00eda inicial; y la firma de un contrato con <\/span><span style=\"font-family: Times New Roman, serif\"><i>B Lab<\/i><\/span><span style=\"font-family: Times New Roman, serif\"> que obliga a las Empresas B a modificar sus normas de organizaci\u00f3n, sus estatutos, para incluir el deber de considerar los efectos de sus decisiones en la sociedad y el medioambiente. <\/span><span style=\"font-family: Times New Roman, serif\">Primero, la compa\u00f1\u00eda deber\u00e1 autoevaluarse contestando a m\u00e1s de 150 preguntas (la mayor\u00eda, de opci\u00f3n m\u00faltiple) sobre su desempe\u00f1o social y medioambiental. Es lo que <\/span><span style=\"font-family: Times New Roman, serif\"><i>B Lab<\/i><\/span><span style=\"font-family: Times New Roman, serif\"> denomina la Evaluaci\u00f3n de Impacto B. La entidad deber\u00e1 obtener 80 puntos de 200 para optar a la certificaci\u00f3n. Una vez superada la evaluaci\u00f3n, las respuestas ser\u00e1n revisadas por un tercero independiente, que, en su caso, emitir\u00e1 un informe concediendo el certificado. As\u00ed las cosas, la pregunta que surge es: \u00bfes esta autoevaluaci\u00f3n una herramienta fiable para determinar si las compa\u00f1\u00edas tienen un impacto positivo?<\/span><\/span><\/div><div style=\"margin-top: 20px\"><span style=\"color: #000000\"><span style=\"font-family: Times New Roman, serif\"> Hace unos a\u00f1os, la certificaci\u00f3n de <\/span><span style=\"font-family: Times New Roman, serif\"><i>Nespresso<\/i><\/span><span style=\"font-family: Times New Roman, serif\"> como Empresa B suscit\u00f3 un debate sobre esta cuesti\u00f3n. <\/span><span style=\"font-family: Times New Roman, serif\"><i>Nespresso<\/i><\/span><span style=\"font-family: Times New Roman, serif\"> obtuvo la certificaci\u00f3n en 2022 con una puntuaci\u00f3n de 84.3 puntos en la Evaluaci\u00f3n de Impacto B. Esto sorprendi\u00f3 a la comunidad de Empresas B, que eran conocedoras de las pr\u00e1cticas poco \u00e9ticas que se le han atribuido a la empresa en la \u00faltima d\u00e9cada. <\/span><span style=\"font-family: Times New Roman, serif\"><i>Nespresso<\/i><\/span><span style=\"font-family: Times New Roman, serif\"> ha sido acusada de contratar con proveedores que utilizan trabajo infantil y que no remuneran adecuadamente a sus trabajadores, e incluso de implementar horarios que superan los m\u00e1ximos permitidos en sus f\u00e1bricas en Suiza. Y esto no le impidi\u00f3 obtener el certificado. No queda claro entonces si la superaci\u00f3n de la Evaluaci\u00f3n de Impacto B es suficiente para afirmar que la empresa tiene un impacto positivo en la sociedad y el medioambiente. En efecto, esto podr\u00eda aumentar el riesgo de que las compa\u00f1\u00edas utilicen la certificaci\u00f3n de Empresa B para fingir que son sostenibles cuando no lo son. Esta pr\u00e1ctica se conoce por el nombre de <\/span><span style=\"font-family: Times New Roman, serif\"><i>greenwashing (<\/i><\/span><span style=\"font-family: Times New Roman, serif\">o<\/span><span style=\"font-family: Times New Roman, serif\"><i> ecopostureo<\/i><\/span><span style=\"font-family: Times New Roman, serif\">) y <\/span><span style=\"font-family: Times New Roman, serif\"><i>socialwashing<\/i><\/span><span style=\"font-family: Times New Roman, serif\">.<\/span><\/span><\/div><div style=\"margin-top: 20px\"><span style=\"color: #000000\"> <span style=\"font-family: Times New Roman, serif\">En segundo lugar, las empresas solicitantes del certificado deber\u00e1n obligarse en sus estatutos a desarrollar sus actividades velando \u201cpor la generaci\u00f3n de un impacto positivo\u201d y a considerar los efectos de sus decisiones en los grupos de intereses afectados por sus operaciones. Dentro de estos grupos de intereses se incluyen los socios, pero tambi\u00e9n el medioambiente, los acreedores de la compa\u00f1\u00eda o los trabajadores. Para <\/span><span style=\"font-family: Times New Roman, serif\"><i>B Lab<\/i><\/span><span style=\"font-family: Times New Roman, serif\">, esta parte del procedimiento es clave porque es uno de los mecanismos que obliga a la empresa a operar de forma \u201crespetuosa\u201d con la sociedad y el medioambiente tras la obtenci\u00f3n del sello de Empresa B (otro de los mecanismos es la superaci\u00f3n de auditor\u00edas peri\u00f3dicas durante el periodo de vigencia del certificado). El problema surge cuando comparamos las cl\u00e1usulas que deben incluir las Empresas B en sus estatutos con normas similares en Derecho comparado: el art\u00edculo 1833 del C\u00f3digo civil franc\u00e9s y la secci\u00f3n 172 (1) del <\/span><span style=\"font-family: Times New Roman, serif\"><i>Companies Act<\/i><\/span><span style=\"font-family: Times New Roman, serif\"> de Gran Breta\u00f1a. Estas normas no permiten adoptar a las empresas decisiones que sean manifiestamente contrarias a los intereses de los socios de obtener beneficios econ\u00f3micos, ya que el fin que persiguen sigue siendo lucrativo. Sin embargo, es cierto que permiten a las empresas justificar decisiones que sean favorables a grupos de intereses que nada tengan que ver con los socios, como pueden ser los trabajadores o el medioambiente, siempre que beneficien a los socios, al menos, en el largo plazo. <\/span><\/span><\/div><div style=\"margin-top: 20px\"><span style=\"color: #000000\"><span style=\"font-family: Times New Roman, serif\">Ahora traslademos esta idea a las Empresas B. Estas empresas podr\u00e1n adoptar la decisi\u00f3n de, por ejemplo, cambiar su proceso de producci\u00f3n por uno menos contaminante solo si ello comportara beneficios econ\u00f3micos a la compa\u00f1\u00eda, aunque no sean inmediatos. En otras palabras, podr\u00e1n crear un impacto positivo en la sociedad y el medioambiente solo si crea alg\u00fan valor para la empresa. De lo contrario, la decisi\u00f3n no estar\u00e1 justificada y no podr\u00e1 adoptarse. Y es que la adopci\u00f3n de decisiones que favorezcan a la sociedad y el medioambiente y que sean perjudiciales para los socios requerir\u00eda la modificaci\u00f3n del fin lucrativo de la empresa para incluir un fin no lucrativo.
